Who we are
Seconded is operated by Trade Momentum LLC (“we”). The service is the board-package desk at seconded.net and www.seconded.net. By creating an account or using the management console, the company you represent (“Customer”) agrees to these terms.
The service
Seconded runs a management company’s co-op and condo application desk: buildings and units, sales and rental portals, worksheets, document checklists, a fee ledger, and board pages. It does not process card payments, pull credit or background reports, or provide a notarized electronic signature. A typed name is the signer’s certification inside the product, not a guarantee of identity.
Accounts
Customer is responsible for who it admits to the console and for the roles it assigns. Sign-in credentials and session cookies are for that person only. Customer will disable access when someone leaves.
Customer data
Application data, including Social Security numbers, financial figures, and uploaded files, is Customer’s data. Customer decides what to collect and must have a lawful basis and any notice the applicant is owed. We host and process that data to provide the desk, under Customer’s instructions. We do not sell it.
Restricted lines (including Social Security number and bank account number) are stored for management and omitted from the board packet. They are not shown as a last-four mask or a bar over the value. Customer must not place those values in a field, note, or file that it marks board-safe. A board-safe copy is Customer’s act, not ours.
Links
Applicant, agent, and board links are credentials. Customer will send them only to the intended person and will revoke a link that is forwarded, lost, or no longer needed. Links expire. An expired or revoked link does not open the packet or accept a signature.
Acceptable use
Customer will not use Seconded to break the law, to discriminate in violation of fair-housing rules, to probe other customers’ data, or to attempt to reconstruct a value the board packet omitted. Customer will not upload malware or files it has no right to store.
Availability and changes
We will keep the service available in a commercially reasonable way. We may change features. If we change these terms, we will post the new date on this page. Continued use after that date is acceptance. Customer may stop using the service at any time. We may suspend access for a material breach that is not fixed after notice, or immediately if the use risks other customers’ data.
Disclaimers and liability
The service is provided as-is. We do not warrant that a board will approve an application, that a building’s requirements are complete, or that omission of a line from board pages cures a disclosure Customer made somewhere else. To the extent the law allows, our aggregate liability arising out of the service in a twelve-month period is limited to the fees Customer paid us for Seconded in that period, or one hundred dollars if no fee was paid. We are not liable for indirect or consequential loss. These limits do not apply where the law forbids them, including liability for our gross negligence or willful misconduct.
Law
New York law governs these terms, without its conflict-of-law rules. The state and federal courts in New York County, New York, are the exclusive venue, except that either party may seek injunctive relief for misuse of data in any court that has jurisdiction. Questions: legal@seconded.net.
